LensLlama Terms of Service

1. Acceptance of these Terms

These Terms of Service (“Terms”) form a legally binding agreement between you and Foundry Lane LLC(dba LensLlama) (“LensLlama,” “we,” “us,” or “our”), a U.S. limited liability company based in California.

By creating an account, accessing, or using the LensLlama platform at lensllama.net or any related services (collectively, the “Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are accepting these Terms on behalf of a business entity (such as an eyecare practice or optical lab), you represent that you have the authority to bind that entity, and “you” includes both you individually and the entity.

2. What LensLlama Is

LensLlama is a B2B network that connects independent Eyecare Professionals (“ECPs”) — typically eye doctors and the optical practices they work with — with independent optical labs for the fulfillment of lens orders.

We facilitate:

  • Account creation and verification for ECPs and labs
  • Structured, digital lens order placement using a LensLlama-generated order number
  • A ranked comparison of eligible labs that can fulfill a given order
  • Payment collection at checkout (via Stripe) and lab payouts (via Stripe Connect)
  • Outbound shipping label generation via Shippo
  • Order tracking and status updates

LensLlama is the platform; we are not the party performing lens work or shipping physical goods. The contract for lens fulfillment is between the ECP and the lab. We facilitate the transaction; we don’t perform it.

3. Eligibility and Accounts

Who can use the Service

LensLlama is for business use only. You must be one of:

  • A licensed eyecare professional, or a representative of an eyecare practice
  • A representative of an optical lab that processes lens orders for ECPs
  • An authorized agent acting on behalf of a qualifying business

You must be at least 18 years old and legally authorized to enter into business contracts.

Account responsibilities

You are responsible for:

  • Providing accurate, complete, and current information at signup and on your profile
  • Keeping your account credentials secure (we use link-based sign-in — no passwords — but you must not share your sign-in link emails with unauthorized parties)
  • All activity that occurs under your account
  • Notifying us immediately at contact@lensllama.net of any suspected unauthorized access

Roles

When you sign up, you select a role — ECP (Eyecare Professional) or Lab (Lab Partner). Each role has its own onboarding flow, navigation, and permissions. You may not have a single account act in both roles; if you operate both an ECP practice and an optical lab, you must register separate accounts.

Lab approval

Labs sign up in a “Pending Verification” state. Lab accounts become active only after LensLlama administrators have verified the lab’s identity and capability claims. We reserve the right to approve, deny, or suspend lab accounts at our sole discretion.

4. Subscription, Fees, and Payments

ECP subscriptions

ECPs pay a monthly subscription to use the LensLlama platform.

Subscribers agree to pay the subscription fees applicable to their plan as disclosed at the time of purchase. Fees may be updated with notice, as described in “Changes to these Terms” below.

  • Founding rate: available to the first 15 ECPs to successfully sign up and complete a subscription. This rate is locked permanentlyfor the life of that ECP’s account, as long as the account remains in good standing and the subscription is not cancelled. If the account is cancelled and later re-opened, the founding rate does not transfer back to the re-opened account.
  • Standard rate: applies to all ECPs after the first 15 founding spots are filled.

Subscriptions are billed monthly through Stripe. You can cancel anytime via the Stripe Customer Portal accessed through your LensLlama dashboard. Cancellation takes effect at the end of the then-current billing period; we do not provide pro-rata refunds for partial months.

Lab platform fee

Labs do not pay a subscription. Instead, LensLlama charges a platform fee on each order that is paid through the platform. The rate quoted is the lab’s all-in cost — LensLlama absorbs the payment-processing fees.

The applicable platform-fee rate for each tier is disclosed at onboarding and on every payout statement, and may be updated with notice, as described in “Changes to these Terms” below.

  • Founding rate:a reduced platform-fee rate, available to the first 15 labs verified and active on the platform. Locked permanently for the life of that lab’s account.
  • Standard rate: applies to all labs after the first 15 founding spots are filled.
  • Enterprise rate: the same rate as Standard, for labs that sustain 250+ orders/month over a 3-month rolling average. Enterprise labs receive added benefits (featured placement in lab comparison, profile badges, and priority support) rather than a rate discount.

The platform fee is automatically deducted at the time of payment via Stripe Connect. Labs receive their portion (order amount minus the platform fee) in their connected Stripe account, typically settled to their bank account in 2-3 business days per standard ACH timing.

Outbound shipping costs

For orders processed through LensLlama, labs use their own carrier accounts(UPS, FedEx, USPS — configured during onboarding) to pay for outbound shipping. LensLlama generates the label via Shippo, billed against the lab’s connected carrier account. Labs retain their carrier-negotiated rates.

Return shipping

Labs handle return shipping (lab back to ECP office) using their existing carrier relationships. LensLlama is not involved in return shipping payments or label generation.

Referral program

LensLlama may offer referral rewards as documented in the Referral Program terms presented within the Service. Standard terms:

  • Both parties (referrer and referred) receive one free month of subscription when the referred ECP completes 30 days of active subscription
  • Maximum of 3 referral rewards per 12-month period per referrer
  • Referral rewards may be clawed back if the referred account is cancelled within the 30-day eligibility window

Referral program terms may change with reasonable notice.

Founding-rate permanence

The founding rates (the founding ECP subscription rate and the founding lab platform-fee rate) are a legal commitment. If you successfully sign up during the founding window and maintain an active account in good standing, your rate will not be raised, regardless of changes to our standard pricing.

This commitment does not apply to:

  • Accounts that are cancelled and re-opened
  • Accounts that breach these Terms and are terminated by us
  • Material changes to applicable law that require pricing changes
  • Acquisition or change of control (in which case successor terms may apply with notice)

Taxes

Prices shown do not include sales tax, VAT, or other applicable taxes. You are responsible for any taxes owed in your jurisdiction.

5. Patient Information — Hard Rule

LensLlama is architecturally designed not to collect, store, or transmit patient information. Orders flow through our system identified only by a LensLlama-generated order number (e.g., LL-7843-Q4R), prescription values, eyewear specifications, and the practice’s business shipping address.

You agree not to submit patient information through LensLlama, including:

  • Patient names, dates of birth, or other identifiers
  • Patient contact information (address, phone, email)
  • Patient insurance details or member IDs
  • Patient medical records, diagnoses, or examination notes
  • Patient social security numbers or government IDs

If you accidentally include patient information in a free-text field (we minimize these), notify us immediately at contact@lensllama.net so we can address it.

Because LensLlama does not collect, store, or transmit Protected Health Information (“PHI”) under HIPAA, we are not a HIPAA Covered Entity, nor (by architectural design) a HIPAA Business Associate. If your practice requires a Business Associate Agreement (“BAA”) for internal compliance reasons, we can review and execute one on request. If your practice processes patient PHI through other tools, those tools — not LensLlama — are subject to HIPAA.

6. Acceptable Use

You agree to comply with our Acceptable Use Policy, which is incorporated by reference into these Terms.

In summary, you may not:

  • Submit patient information through the Service (see Section 5)
  • Use the Service to violate applicable law
  • Reverse-engineer, scrape, or attempt to extract data from the Service
  • Misuse other users’ information (e.g., contacting labs or ECPs you’ve discovered through LensLlama for off-platform purposes outside the scope of the order they’re working on)
  • Spam, abuse, or impersonate others through the Service (including the Ask Lex chat or contact forms)
  • Resell access to LensLlama, white-label our Service, or use our brand without permission
  • Interfere with the security, integrity, or availability of the Service

Violations may result in account suspension or termination.

7. Intellectual Property

Our IP

LensLlama™, the LensLlama name and logo, the Lex mascot, the brand.css design tokens, the platform UX, the rules engine and validation logic, the documentation, and all related software are owned by Foundry Lane LLC and protected by U.S. and international copyright, trademark, patent, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

Your data

You retain ownership of:

  • Your account information and profile
  • The orders you create (for ECPs) or fulfill (for labs)
  • Your pricing data (for labs)
  • Any feedback or content you submit

You grant LensLlama a non-exclusive, royalty-free, worldwide license to use, store, process, and display your data solely to provide and improve the Service. We may use aggregated, de-identified data (which by design contains no patient information) for analytics, product improvement, and benchmarking.

Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without compensation or attribution.

8. Third-Party Services

The Service integrates with third-party providers, including but not limited to:

  • Stripe (payment processing, subscription billing, payout)
  • Resend (transactional email delivery)
  • Shippo (carrier label generation, tracking)
  • Fly.io (hosting)
  • Sentry (error monitoring)
  • Twilio (transactional SMS to opted-in laboratory accounts)
  • Connected carrier accounts (UPS, FedEx, USPS) for shipping

Your use of these third-party services is subject to their respective terms of service and privacy policies. LensLlama is not responsible for the conduct or content of third parties.

9. SMS Notifications (Optical Labs Only)

LensLlama sends transactional SMS/text messages only to optical laboratory accounts that have opted in with a mobile number during onboarding. Eye care practice accounts never receive text messages from LensLlama. Consent is optional and is never a condition of creating or keeping an account.

  • Message types: order notifications only — a new order placed with your lab, or a practice cancelling or modifying an order before you accept it. We never send marketing by SMS.
  • Frequency: varies based on your order volume.
  • Rates: message and data rates may apply.
  • Opt out: reply STOP at any time — honored immediately and permanently for that number.
  • Help: reply HELP, or email contact@lensllama.net. The number is not monitored for other replies.
  • Delivery: not guaranteed; carriers are not liable for delayed or undelivered messages.
  • Privacy: we never sell or share your number with third parties for their own marketing.

10. Service Availability and Modifications

We strive to keep the Service available, but we don’t guarantee uninterrupted access. The Service may be unavailable from time to time due to maintenance, technical issues, force majeure events, or third-party failures.

We may modify, suspend, or discontinue features of the Service at any time, with or without notice. Material changes that affect paid-tier benefits will be communicated by email with at least 30 days’ notice.

Beta / pre-launch

If you access the Service during a closed beta or pre-launch period (typically the founding-cohort window), you acknowledge that:

  • The Service may contain bugs, incomplete features, or unexpected behavior
  • We may push fixes and updates frequently
  • We collect feedback aggressively and may invite you to participate in product surveys
  • The Service is provided “as is” during this period (see Section 11)

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LENSLLAMA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DATA.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or completely secure
  • Defects will be corrected within a particular timeframe
  • The Service or the servers that make it available are free of viruses or harmful components
  • The results from using the Service will meet your expectations

Labs are independent. LensLlama does not endorse, control, or guarantee the work performed by any lab. Quality disputes between an ECP and a lab are between those two parties; LensLlama may, at its discretion, facilitate resolution but is not obligated to.

Pricing comparison is a snapshot. Lab prices displayed in the comparison engine reflect the prices labs have entered into the platform at the time of comparison. We do not guarantee the accuracy of lab pricing data; that data is maintained by labs themselves.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LENSLLAMA AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO LENSLLAMA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless LensLlama and its owners, officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms or the Acceptable Use Policy
  • Your violation of any third party’s rights
  • Any content or data you submit to the Service, including any patient information you may inadvertently submit despite Section 5

14. Termination

By you

You may cancel your subscription anytime through the Stripe Customer Portal (for ECPs) or by emailing contact@lensllama.net (for labs). Cancellation takes effect at the end of the then-current billing period.

By us

We may suspend or terminate your account, with or without notice, if:

  • You materially breach these Terms
  • You engage in fraudulent, abusive, or illegal activity
  • We are required to by applicable law
  • We discontinue the Service

Upon termination:

  • Your access to the Service ends
  • We may delete your data after a reasonable retention period (see Privacy Policy for details)
  • Pending orders may be cancelled or completed at our discretion
  • Sections that by their nature survive termination (including IP, indemnification, limitation of liability, and dispute resolution) continue to apply

15. Dispute Resolution and Governing Law

Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles.

Informal resolution

Before filing any formal claim, you agree to first contact us at contact@lensllama.net and attempt in good faith to resolve the dispute informally. Most disputes can be resolved this way; we’d much rather have the conversation than the litigation.

Arbitration

If informal resolution doesn’t work, any dispute arising out of or related to these Terms or the Service will be resolved by binding arbitrationadministered by JAMS in the state of California, in accordance with JAMS’ Comprehensive Arbitration Rules and Procedures. The arbitration will be conducted by a single arbitrator. The decision of the arbitrator will be final and binding.

Class action waiver. You and LensLlama agree that any dispute will be brought individually, not as a class action, class arbitration, or representative action.

Exceptions

This arbitration agreement does not apply to:

  • Small claims court actions
  • Claims for injunctive or equitable relief related to intellectual property
  • Claims that applicable law specifically prohibits from being arbitrated

16. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms here with a new “Last updated” date. Material changes will be communicated by email at least 30 days before they take effect.

Your continued use of the Service after the effective date of updated Terms means you accept the changes. If you do not agree, you must stop using the Service and cancel your account before the effective date.

17. Miscellaneous

  • Entire agreement. These Terms (together with the Privacy Policy, Acceptable Use Policy, and any other documents referenced) constitute the entire agreement between you and LensLlama regarding the Service.
  • Severability. If any provision is found unenforceable, the rest of these Terms remain in effect.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Notices. We may send notices to the email address on your account. You should send notices to LensLlama at contact@lensllama.net.
  • Force majeure. Neither party is liable for delays or failures due to circumstances beyond reasonable control (natural disasters, war, government action, third-party service failures, etc.).
  • Independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and LensLlama.
